Appointment of Proxy Form Template

Download our template Appointment of Proxy form to help you document proxies for your board meetings.

A proxy is an agreed replacement for a voting person. The template form ensures a proxy votes according to the person they represent, not according to their own discretion. It also ensures that only members or proxies vote, rather than unannounced outsiders. The form helps document that this is agreed, protecting all parties.

What is a proxy?

A proxy is an agreed replacement for a voting person.

A member who is unable to attend a board meeting may be able to delegate their voting power to another member or representative to vote in their absence. That person is known as a 'proxy'. Voting by proxy is allowed if stated in the constitution, otherwise not.
